These Terms of Service ("Terms") govern your access to and use of our website, applications, automation platform, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use our Services. We may update these Terms from time to time, and your continued use of the Services after such changes constitutes acceptance of the updated Terms.

Compliance Standards: Autoworklet is actively working toward SOC 2 Type II compliance and HIPAA compliance. We comply with GDPR for EU/EEA residents. For more information, see our Privacy Policy.

2. Description of Services

Autoworklet provides an automation platform that enables users to create, deploy, and manage automated workflows and processes. Our Services include:

  • Automation workflow creation and management tools
  • Integration with third-party applications and services
  • AI-powered features and automation capabilities
  • Data processing and storage services
  • Analytics and reporting features
  • Support and documentation

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.

3. Account Registration and Security

To use certain features of our Services, you must create an account. You agree to:

  • Maintain and update your account information to keep it accurate

  • Use our Services to compete with us or to build competing products
  • Share your account credentials with others or allow unauthorized access
  • Process personal data in violation of applicable data protection laws
  • Use our Services in a manner that violates HIPAA, GDPR, or other compliance requirements

We reserve the right to suspend or terminate your account if you violate these Terms or engage in any prohibited activities.

5. Data Protection and Privacy

5.1 Your Data

5.3 HIPAA Compliance (Healthcare Customers)

If you are a Covered Entity under HIPAA and use our Services to process Protected Health Information (PHI), you must:

  • Contact us to discuss our HIPAA compliance status and BAA availability before processing PHI
  • Execute a Business Associate Agreement (BAA) with us before processing PHI, subject to our current compliance implementation timeline
  • Use our Services in compliance with HIPAA requirements
  • Notify us immediately of any security incidents or breaches involving PHI
  • Ensure all users accessing PHI through your account are authorized and trained

Note: Autoworklet is actively working toward full HIPAA compliance. We have implemented HIPAA-aligned safeguards and can discuss BAA terms and our compliance timeline. Contact us at support@autoworklet.com to discuss your HIPAA requirements.

5.4 GDPR Compliance (EU/EEA Users)

If you are located in the EU/EEA or process personal data of EU/EEA residents, you must:

  • Comply with GDPR requirements when processing personal data
  • Obtain valid consent where required
  • Respect data subject rights (access, rectification, erasure, etc.)
  • Implement appropriate technical and organizational measures
  • Notify relevant authorities of data breaches as required

6. Security and Compliance

We implement industry-standard security measures to protect your data, including:

  • Encryption of data in transit and at rest
  • Access controls and authentication mechanisms
  • Regular security audits and monitoring
  • Security controls aligned with SOC 2 Type II standards (working toward formal certification)
  • Compliance with applicable data protection regulations

6.1 Security Responsibilities

While we implement security measures, you are also responsible for:

  • Using strong passwords and enabling multi-factor authentication when available
  • Keeping your account credentials secure and confidential
  • Implementing appropriate security measures for data you process through our Services
  • Reporting security vulnerabilities or incidents to us immediately
  • Complying with your own security and compliance obligations

6.2 Data Breaches

In the event of a security incident affecting your data, we will:

  • Investigate the incident promptly
  • Notify affected users as required by applicable law
  • Take reasonable steps to mitigate harm
  • Provide information about the incident and remediation steps

You agree to cooperate with our investigation and to notify us immediately if you become aware of any security incident.

7. Intellectual Property

Our Services, including all content, features, functionality, software, and technology, are owned by Autoworklet and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.1 Our Intellectual Property

You may not:

  • Copy, modify, or create derivative works of our Services
  • Reverse engineer, decompile, or disassemble our Services
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use our trademarks or logos without our written permission

7.2 Your Content

You retain ownership of content you create, upload, or process through our Services. You grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely to provide and improve our Services.

8. Third-Party Services and Integrations

Our Services may integrate with third-party services, applications, or APIs. Your use of third-party services is subject to their respective terms and conditions.

We are not responsible for:

  • The availability, accuracy, or reliability of third-party services
  • Any data loss or damage resulting from third-party service failures
  • Third-party service terms, privacy policies, or practices
  • Compliance of third-party services with applicable laws

You are responsible for ensuring that your use of third-party integrations complies with applicable laws and third-party terms.

9. Service Availability and Modifications

We strive to maintain high availability of our Services but do not guarantee uninterrupted or error-free operation. We may:

  • Perform scheduled maintenance that may temporarily interrupt service
  • Modify, suspend, or discontinue features or functionality
  • Update our Services to improve performance, security, or compliance
  • Limit access to certain features based on your subscription level

We will provide reasonable notice of planned maintenance or significant changes when possible.

10. Fees and Payment

11.1 Effect of Termination

Upon termination:

  • Your right to access and use our Services will immediately cease
  • We may delete your account and data in accordance with our data retention policies
  • You remain responsible for fees incurred before termination
  • Provisions that by their nature should survive termination will remain in effect

11.2 Data Export

Before termination, you may export your data using our export features. We will retain your data for a reasonable period after termination as required by law or our data retention policies.

12. Disclaimers and Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including:

  • Warranties of merchantability and fitness for a particular purpose
  • Warranties of non-infringement
  • Warranties regarding accuracy, reliability, or availability
  • Warranties that our Services will meet your requirements or be error-free

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

To the maximum extent permitted by law:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for any loss of data, profits, or business opportunities
  • We are not liable for damages resulting from third-party services or integrations

Some jurisdictions do not allow the limitation of liability for certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Autoworklet and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your violation of any third-party rights
  • Content you upload, create, or process through our Services

15. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of our Services shall be resolved through:

  • Informal Resolution: We encourage you to contact us first at support@autoworklet.com to resolve any disputes informally
  • Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules
  • Class Action Waiver: You agree not to participate in class action lawsuits against us and waive any right to participate in class actions
  • Jurisdiction: Any legal action or proceeding arising from these Terms shall be brought exclusively in the federal or state courts located in Delaware, United States

EU/EEA Residents: If you are located in the EU/EEA, you may have additional rights under applicable consumer protection laws, including the right to bring proceedings in your local courts. Nothing in this section limits your rights as a consumer under EU/EEA law.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will notify you of material changes by posting the updated Terms on this page with a new "Effective Date".

We encourage you to review this Terms of Service periodically. Your continued use of our Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using our Services.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Autoworklet regarding your use of our Services.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

17.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

17.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
